These Terms & Conditions (“T&Cs”) govern your access to and use of the Farmstarck digital procurement platform and related services (collectively, the “Services”). Please read them carefully. By signing up, accessing, or using any part of the Services, you agree to be legally bound by these T&Cs. If you do not agree to these T&Cs, do not use the Services.
The Site and App are operated by Starcks Novation Limited, a company incorporated under the laws of the Federal Republic of Nigeria, with registered offices at 294 Herbert Macaulay Way, Sabo, Yaba, Lagos State, Nigeria (“Farmstarck”, “we”, “us”, or “our”).
1. Definitions
“Personal Data” refers to any data relating to an identified or identifiable individual, including but not limited to names, identification numbers, location data, or any attributes specific to the identity of that individual as defined under the Nigerian Data Protection Act, 2023.
2. Contractual Relationship
2.1 These T&Cs constitute a binding legal agreement between you (“User”) and Farmstarck regarding your access to and use of the Services.
2.2 By using the Services, you consent to Farmstarck's right to modify, suspend, or discontinue any part of the Services at its sole discretion, without prior notice or liability.
3. The Services
Farmstarck provides a procurement and agribusiness management platform designed to optimize supply chains for agriculture-focused enterprises. The Services include but are not limited to digital ordering, supplier management, logistics coordination, and reporting tools.
4. Basis of Agreement
The use of the Services does not constitute a guarantee of business, procurement transactions, or commercial outcomes. By signing up, Users acknowledge that they do so voluntarily and subject to compliance with these T&Cs.
5. User Obligations
(A) Users shall act in good faith and comply with applicable laws and these T&Cs while using the platform.
(B) Users must not engage in any activity that could harm the integrity, functionality, or reputation of the Farmstarck platform.
(C) Each party agrees to comply with the Nigerian Data Protection Act, 2023.
(D) No contractual obligation exists until a separate agreement is executed between Farmstarck and the User.
6. Intellectual Property
6.1 All intellectual property related to the Services, including but not limited to software, design, documentation, and know-how, remains the exclusive property of Farmstarck.
6.2 Nothing in these T&Cs confers any license or rights to the User except as expressly granted.
6.3 Users grant Farmstarck a royalty-free, non-exclusive license to use their submitted data (including Personal Data) for operational, research, and analytical purposes.
6.4 Farmstarck may use anonymized data for benchmarking and service improvement.
7. Payments
7.1 Payments on the platform may be made via:
(A) A digital wallet funded through available channels;
(B) Debit or credit card;
(C) Bank transfers;
(D) Other methods as made available.
7.2 Farmstarck partners with third-party processors to manage transactions. Prices are displayed in Nigerian Naira and are inclusive of applicable taxes.
8. Privacy
By using the platform, you agree to the collection, processing, and use of your Personal Data in accordance with our Privacy Policy.
9. Credit
Farmstarck may extend credit facilities to Users at its sole discretion. Users consent to data sharing with licensed credit bureaus for verification and risk assessment.
10. Limitation of Liability
10.1 To the fullest extent permitted by law, Farmstarck disclaims liability for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, or goodwill.
10.2 We do not guarantee uninterrupted access or error-free operation of the platform.
10.3 Hyperlinks to third-party websites are provided for informational purposes only. We do not endorse and are not liable for third-party content.
11. Termination
We reserve the right to suspend or terminate your access to the Services at our sole discretion, without prior notice, for breach of these T&Cs or other misconduct.
12. Waiver
No delay or failure to enforce any provision of these T&Cs shall constitute a waiver of that provision.
13. Severability
If any part of these T&Cs is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14. Entire Agreement
These T&Cs constitute the entire agreement between the parties regarding the Services and supersede any prior agreements or understandings.
15. Assignment
Users may not assign or transfer their rights or obligations without prior written consent. Farmstarck reserves the right to assign its rights or obligations at any time.
16. No Partnership or Agency
Nothing in these T&Cs shall be deemed to create a partnership or agency relationship between the parties unless expressly stated otherwise in a separate agreement.
17. Third Party Rights
These T&Cs do not confer rights upon any third party.
18. Notices
All notices must be delivered in writing via email to legal@farmstarck.com or by post to our registered office at 294 Herbert Macaulay Way, Sabo, Yaba, Lagos State, Nigeria.
19. Governing Law
These T&Cs shall be governed and interpreted in accordance with the laws of the Federal Republic of Nigeria.
20. Return Policy
Returns and replacements are subject to our published Return Policy, which forms part of these T&Cs.
21. Amendments
We reserve the right to amend these T&Cs at any time. Continued use of the Services after such amendments constitutes acceptance.
22. Indemnification
You agree to indemnify and hold harmless Farmstarck and its affiliates from any claims or losses arising from your use of the Services or violation of these T&Cs.
23. Disclaimer
The Services are provided on an “as is” and “as available” basis. Farmstarck makes no representations or warranties of any kind, express or implied, regarding the Services' reliability, suitability, or availability.
